Welcome to the Composite Mechanics & Failure Solver (the "Service" or "Software"), operated by INNX and its affiliates ("we," "us," or "our").
Please read these Terms and Conditions ("Terms", "Agreement") carefully before using our website, APIs, or command-line interfaces (collectively, the "Service"). By accessing or using the Service, you ("Customer", "User", "you") agree to be bound by these Terms. If you are entering into this Agreement on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind such entity to these terms.
1. CRITICAL DISCLAIMER OF LIABILITY & NO ENGINEERING WARRANTY
PLEASE READ THIS SECTION WITH EXTREME CARE. THIS IS A MATHEMATICAL AND ALGORITHMIC TOOL, NOT A SUBSTITUTE FOR LICENSED ENGINEERING DESIGN, EXPERIMENTATION, OR PHYSICAL TESTING.
1.1 Mathematical & Simulation Limitations
The Service provides algorithmic computations based on Classical Laminate Theory (CLT), orthotropic stiffness matrices, failure criteria (including Tsai-Wu, Tsai-Hill, Maximum Stress, Maximum Strain, Hashin, Puck, Cuntze), plate buckling, vibration/eigenfrequencies, Weibull Maximum Likelihood Estimation (MLE), and Monte Carlo stochastic simulations. These calculations are mathematical models and are subject to statistical variance, mathematical idealizations, and data-entry accuracy.
1.2 No Engineering Seal or Professional Advice
- No Professional Services: INNX does not provide certified engineering services, physical testing, or certified structural designs. The output of the Software does not constitute professional engineering advice.
- No Engineering Seal: The Software's reports, results, and plots are not signed or sealed by a licensed Professional Engineer (PE) or structural authority.
- Independent Verification Required: You agree that all structural laminates, safety factors, and material selections designed or optimized using the Software must be independently reviewed, verified, and physically tested by a qualified, licensed engineer before any manufacturing, prototyping, certification, or deployment in any physical system occurs.
1.3 Pre-Conceptual Design Aid & Mandatory PE Sign-Off (Assumption of Risk)
- Pre-Conceptual Design Aid Only: The Service and its mathematical calculations are intended and permitted for use strictly as a pre-conceptual design aid. The Software is not a certified certification tool, and its mathematical models are not a substitute for rigorous physical testing, prototype verification, and experimental validation.
- Mandatory Professional Engineer (PE) Sign-Off: You agree that all structural layouts, fiber/matrix selections, laminate orientations, strength indexes, and failure margins computed or optimized using the Software must be independently reviewed, validated, and formally signed off by a licensed Professional Engineer (PE) or accredited regulatory authority prior to manufacturing, prototyping, or deployment in any physical application (including, but not limited to, aerospace, defense, automotive, marine, or civil structures).
- Assumption of Risk for Aerospace and High-Risk Uses: While the Software may be utilized by professional engineers for conceptual development, the User assumes 100% of the risk, responsibility, and liability for all subsequent design decisions, physical fabrications, structural failures, delaminations, bodily injury, or death.
1.4 Exclusion of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
- WARRANTIES OF ACCURACY, RELIABILITY, COMPLETENESS, OR ERROR-FREE COMPUTATION.
- WARRANTIES THAT THE CALCULATIONS WILL CONFORM TO LOCAL, NATIONAL, OR INTERNATIONAL AEROSPACE AND STRUCTURAL BUILDING CODES (e.g., CMH-17, FAA, EASA, NASA, ASME, or ISO standards).
1.5 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL INNX, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Physical structural failure, structural collapse, material delamination, or matrix cracking.
- Property damage, bodily injury, or death.
- Loss of profits, revenue, data, goodwill, or business interruption.
- Stripe billing charges or compute costs incurred due to faulty optimization loops set by the User.
Subject to the User's sole responsibility to obtain Licensed Professional Engineer (PE) validation and conduct physical testing, our aggregate liability for all claims arising out of or related to this Agreement shall not exceed the total amount paid by you to us for the Service during the twelve (12) months preceding the event giving rise to liability.
2. SUBSCRIPTION TIERS & COMPUTE CREDITS
We offer tiered access to the Service. The specific limits, features, and pricing are detailed on our pricing page and governed as follows:
2.1 Subscription Matrix
- Tier 1: Researcher & Consultant ($199 / month)
- Limited to laminates capped at 20 plies.
- Deterministic optimization only.
- Target of 500 server-side Monte Carlo runs per billing cycle. (Not currently metered or automatically enforced; we reserve the right to enforce it, with notice, once usage-metering is implemented.)
- Tier 2: Professional R&D ($419 / user / month)
- Unlimited plies, dynamic optimization (mass/strain energy), Weibull MLE fitting.
- Access to structural plate modules (Buckling, Vibration, Out-of-Plane bending).
- Server-side compute, accelerated by native solver code. (A local, client-side WebAssembly execution option is on our roadmap but not currently available.)
- Exporting rights for A/B-basis allowables and PDF/latex report generation.
- Tier 3: API & Integrations (99 â 499 / month)
- REST API access with schema supporting integrations (MATLAB, Python, Excel, CAD systems).
- Governed by rate limits specified in the API documentation.
- Tier 4: Enterprise (Custom contracts starting at 15kâ25k+ / year)
- SSO integration, custom material databases, dedicated high-performance cloud nodes, and API scripts.
- Enterprise terms are governed by a separate Master Service Agreement (MSA) which takes precedence over these Terms.
2.2 Payment and Billing
- Subscriptions are billed on a recurring monthly or annual basis via Stripe.
- You must provide valid payment details. By submitting payment details, you authorize us to charge all fees incurred through your account to your Stripe-registered payment method.
- No Refunds: Unless required by law, all payments are non-refundable. If you cancel your subscription, you will retain access to your tier features until the end of the current billing cycle.
2.3 Compute Margin Guardrails & Credit Consumption
- We intend to introduce a compute-credit system for intensive computational processes (e.g., genetic optimization loops or multi-thousand-iteration Monte Carlo simulations run on our servers), under which exceeding a tier's monthly allowance would require purchasing additional credits.
- As of the date of this Agreement, this metering/credit system is not yet implemented: server-side compute is not currently capped or billed per-run beyond your subscription tier's feature limits (e.g., maximum ply count). We reserve the right to implement compute-credit metering, and to set or modify its cost, with 30 days' notice before it takes effect.
- There is currently no client-side WebAssembly execution option (see Section 3).
3. COMPUTE DATA FLOW: CURRENT ARCHITECTURE
We respect the proprietary nature of your engineering designs and laminate stacking sequences.
3.1 Local Client-Side Execution (WebAssembly / WASM) — Roadmap, Not Currently Available
- A local, client-side WebAssembly (WASM) execution option, under which high-iteration simulations would run entirely inside your browser without transmitting design data to our servers, is on our roadmap.
- As of the date of this Agreement, this feature does not exist on any tier. Do not rely on it, and do not submit ITAR-controlled, export-restricted, or otherwise legally sensitive technical data to the Service on the assumption that a local-only processing path is available — it is not.
3.2 Server-Side Execution (FastAPI / REST API) — Applies to All Tiers Today
- All analysis today, on every tier (Researcher, Professional, API, and Enterprise unless covered by a separate self-hosted MSA), transmits your laminate geometry, loading vectors, and material properties to our FastAPI backend (
/analyze, /optimize, /weibull/fit, and other analysis endpoints).
- We do not use your proprietary design data to train machine learning models or share it with third parties. Computation itself is executed in memory; however, for traceability and reproducibility of engineering results, each analysis request (input payload, a content hash, a summary of the output, timestamp, and account tier) is recorded to an internal audit log, retained per our Privacy Policy Section 1.2 and deletable on request.
- You represent and warrant that you have the right to upload and process all material properties and stacking sequences submitted to the Service, and that doing so does not violate any export-control law applicable to that data (see Section 6).
4. API KEYS & SECURITY
- Hashed Storage: If your subscription tier includes REST API access, you will be issued a raw API key. We store only the cryptographically secure SHA-256 hash of this key in our database.
- API Key Rotation: Because the key is securely hashed, we cannot retrieve or reconstruct your raw API key if lost. In the event of loss, you must contact support (which can take up to 7 business days to process and generate a new key), which immediately invalidates the previous key.
- Confidentiality: You are solely responsible for maintaining the confidentiality of your API keys and login credentials. Any API requests made using your key will be billed to and deemed executed by your account.
5. INTELLECTUAL PROPERTY RIGHTS
5.1 Proprietary Platform IP
- INNX retains all right, title, and interest in and to the Software, the mathematical solver algorithms, the WebAssembly binaries, code libraries, dashboard UI, databases, and all related documentation.
- You are granted a limited, non-exclusive, non-transferable, revocable license to access the Software in accordance with your subscription tier. You may not reverse-engineer, decompile, or modify the solver codebase except as explicitly permitted under custom Enterprise (Tier 4) source-code licenses.
5.2 User Input IP
- You retain full ownership and intellectual property rights over the specific laminate stacking sequences, material elastic constants, mechanical loading scenarios, and custom material databases that you input into the Service ("User Data").
- You grant us a temporary, non-exclusive, royalty-free license to process your User Data solely to perform the calculations requested by your account.
6. EXPORT CONTROLS AND COMPLIANCE (ITAR / EAR / ECCN)
6.1 Regulatory Classification
The Software (including the mathematical solver engine and built-in material databases) may constitute dual-use technology and could be subject to the Export Administration Regulations (EAR) and/or International Traffic in Arms Regulations (ITAR) administered by the U.S. Government, depending on the specific technical data a given user inputs. INNX has not obtained or self-classified a formal Export Control Classification Number (ECCN) for the Software, and no specific ECCN or United States Munitions List (USML) category should be assumed or relied upon by any User. You are solely responsible for determining the export-control classification of your own technical data (materials, stacking sequences, load cases) and for ensuring your use of the Service complies with applicable export-control law.
6.2 Export Violations and User Warranty
You represent, warrant, and certify that you will not use, export, re-export, or access the Service in violation of any applicable export control laws or regulations. You specifically agree that you will not upload, enter, or submit any data, stacking sequences, or custom material properties to the public cloud nodes that are subject to ITAR control, EAR restrictions, or other state-secret classification.
6.3 Product Separation (Public SaaS vs. Enterprise ITAR)
- Public SaaS Tier: Enforces standard web-hosted constraints. Calculations run on public cloud nodes are processed strictly in volatile memory. No ITAR-controlled technical data may be input.
- Enterprise ITAR Tier: For organizations requiring compliance with ITAR/EAR regulations for classified or proprietary defense/aerospace structures, INNX offers self-hosted deployment as an option under a separate Enterprise Master Service Agreement (MSA). The specific architecture (e.g., degree of network isolation, telemetry, and license validation) is defined case-by-case in that MSA and is not guaranteed by these Terms; do not assume a specific offline, air-gapped, or zero-telemetry configuration is in place unless it is expressly documented in your signed Enterprise MSA.
7. GOVERNING LAW & JURISDICTION
- These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which INNX is incorporated, without regard to its conflict of law provisions.
- Any legal action or proceeding arising under these Terms will be brought exclusively in the courts of our corporate domicile, and the parties hereby consent to personal jurisdiction and venue therein.
